Companies that filed a new Form D with the US Securities and Exchange Commission between Monday 12 and Sunday 18 October 2026: how much each raised, where they are based, and what they sold. Investment funds are left out. Updated every Tuesday.

- 323 companies filed a new Form D, reporting $3.45B raised so far between them (263 reported a sale).
- Biggest raise: Ramp Business Corp, $1.58B (Other Technology, New York, NY).
- 45 raised $10M or more and 135 raised $1M or more. The median raise was $1.1M.
- 200 were first-time filers, the SEC’s first record of the company raising money this way, with $740.9M between them.
- Top place by money raised: New York, 27 companies and $1.66B.

How this page is made
US companies selling shares, SAFEs or notes to private investors under Regulation D must file a Form D with the SEC within 15 days of their first sale. Every Tuesday we read every Form D filed in the previous Monday to Sunday week, straight from SEC EDGAR, and keep the new offerings. Amendments to older offerings are left out, and so are pooled investment funds (venture, private equity, hedge and real estate funds), which file about two thirds of all Form Ds.
A filing is not a press release. The amount is what the company reported as sold when it filed, not its total funding, and some rounds are never filed at all. The industry is the company’s own pick from the SEC’s list; most software startups choose “Other Technology”. Real estate and energy projects that raise money as companies are included, so not every row is a startup.
